Nimble Viewer Terms and Conditions

Please read these Terms and Conditions carefully before downloading, installing, accessing, or using Nimble Viewer. These Terms are written specifically for the Nimble Viewer desktop application and are separate from the terms that govern the broader Nimble platform or other Nimble services.
1. Scope
These Terms and Conditions govern the download, installation, access to, and use of Nimble Viewer and the agreement that operates between You and the Company regarding Nimble Viewer.
For purposes of these Terms, Nimble Viewer means the Nimble Viewer desktop software, related updates, documentation, download pages, and support pages provided by the Company.
These Terms apply only to Nimble Viewer. They do not govern the Nimble platform, hosted Nimble applications, APIs, workspaces, or other Nimble services, which may be subject to separate terms, customer agreements, order forms, or privacy terms.
Nimble Viewer is a separate product from the broader Nimble application family. A user may use Nimble Viewer without having any account, subscription, or access rights to the hosted Nimble platform.
Future optional account, collaboration, tracking or marking, update, analytics, or related connected features that may be introduced within Nimble Viewer will remain subject to these Terms, together with any feature-specific notices, additional terms, or updated policies that may apply to those features.
2. Eligibility and Acceptance
By downloading, installing, accessing, or using Nimble Viewer, You agree to be bound by these Terms and Conditions. If You do not agree to these Terms, You may not download, install, access, or use Nimble Viewer.
You represent that You are at least 18 years old and are legally able to enter into this agreement. If you are using Nimble Viewer on behalf of a company, institution, or other legal entity, You represent that you have authority to bind that entity to these Terms.
Your use of Nimble Viewer is also subject to any privacy, confidentiality, security, and regulated-data handling rules that apply within Your organization or Your workflow.
3. Free Version and Future Paid Offerings
Nimble Viewer is currently offered as a free desktop application unless the Company states otherwise.
The Company may, at its sole discretion, introduce paid editions, premium features, enterprise distributions, support plans, or other commercial offerings for Nimble Viewer in the future.
The Company may also introduce future optional user account registration, connected services, collaboration features, tracking or marking capabilities, update-related services, product guidance, or feature usage measurement within Nimble Viewer.
If the Company introduces any paid Nimble Viewer offering in the future and You choose to use it, additional pricing, billing, renewal, refund, support, or order terms may apply to that specific offering.
If the Company introduces future optional account-based or connected features, Your use of those features may also be subject to additional notices, feature terms, or updated privacy disclosures.
The Company may also modify, suspend, limit, or discontinue any free feature, paid feature, or distribution model for Nimble Viewer at any time, subject to applicable law and any separate commercial commitments the Company may make for a paid offering.
4. License to Use Nimble Viewer
Subject to these Terms and Conditions, the Company grants You a limited, non-exclusive, non-transferable, revocable license to download, install, and use Nimble Viewer on devices that you own or control, or on behalf of an organization that has authorized Your use.
This license is granted only for lawful internal business, research, evaluation, or personal use, as applicable, and does not transfer any ownership rights in Nimble Viewer or any related intellectual property to you.
Except for the limited rights expressly granted in these Terms, the Company and its licensors reserve all rights, title, and interest in and to Nimble Viewer.
5. Restrictions
You agree not to:

copy, modify, adapt, translate, or create derivative works of Nimble Viewer except as expressly permitted by applicable law;

sell, rent, lease, sublicense, distribute, assign, or otherwise make Nimble Viewer available to third parties except as expressly authorized by the Company;

reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Nimble Viewer except to the extent such restriction is prohibited by applicable law;

remove, alter, or obscure any proprietary notices, labels, or branding in Nimble Viewer;

use Nimble Viewer in any unlawful manner or in any manner that could harm the Company, Nimble Viewer, or other users; or

use Nimble Viewer as a substitute for professional validation, regulated review, or decision making where independent review is required.
6. Local Use, Data Handling, and Caching
Nimble Viewer is designed for local file review. Supported files are opened from your machine, and Nimble Viewer may create local cache, temporary, log, or derived files to support performance, diagnostics, reopen behavior, or user-selected export and conversion workflows.
Nimble Viewer may also connect to Company-controlled or service-provider-controlled endpoints for limited purposes such as checking for newer versions, update availability, download availability, release information, security notices, or other related application-service functions.
You are solely responsible for the files, data, exports, conversions, screenshots, logs, and other materials that you open, generate, retain, validate, transmit, or share through your use of Nimble Viewer.
You are also responsible for complying with your organization's privacy, confidentiality, security, records-management, and regulated-data handling requirements when using Nimble Viewer.
The Company does not assume responsibility for your internal data governance decisions, your storage environment, or the appropriateness of opening any particular dataset, document, or file through Nimble Viewer.
7. Exports and Conversions
Nimble Viewer may allow you to export, convert, or otherwise create derived output from data that you review in the application.
You are solely responsible for reviewing and validating any exported, converted, filtered, sorted, or derived output before relying on it, sharing it, or using it in any business, research, quality, regulatory, or submission workflow.
The existence of an export, conversion, or file-handling feature in Nimble Viewer does not mean that the resulting output is complete, submission-ready, validated for regulatory use, or suitable for any specific downstream system.
8. Updates and Third-Party Components
The Company may provide updates, upgrades, bug fixes, or feature changes for Nimble Viewer from time to time. Unless the Company states otherwise, those updates will be treated as part of Nimble Viewer and will be governed by these Terms.
Nimble Viewer may check for newer versions, update availability, or related release information. The Company may also introduce optional connected features, optional user accounts, collaboration tools, tracking or marking capabilities, product guidance, or related feature expansions in future versions.
Nimble Viewer may include or depend on third-party or open-source software components. Those components may be subject to their own separate license terms, and nothing in these Terms is intended to limit rights granted to you under any applicable third-party license.
The Company does not guarantee that any particular version, feature set, operating system integration, file association, or update path will remain available indefinitely.
9. Intellectual Property
Nimble Viewer, including its software, design, branding, text, graphics, interfaces, documentation, and related content, is and will remain the exclusive property of the Company and its licensors.
The Company's trademarks, product names, logos, and trade dress may not be used without the Company's prior written consent, except as necessary to refer to Nimble Viewer in a truthful and non-misleading manner.
10. Feedback
If You provide feedback, suggestions, ideas, comments, or improvement proposals relating to Nimble Viewer, You assign all rights, title, and interest in that feedback to the Company.
If for any reason such assignment is ineffective, You agree to grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide right and license to use, reproduce, disclose, sublicense, distribute, modify, and otherwise exploit such feedback without restriction, compensation, or attribution to you.
11. No Medical, Regulatory, or Professional Advice
Nimble Viewer is a software tool for data exploration and review. It is not medical advice, legal advice, regulatory advice, statistical advice, or professional services.
Nimble Viewer is not intended for diagnosis, treatment, or patient-care decision making, and it is not a substitute for professional judgment, validation, quality review, or regulatory review.
You remain solely responsible for the accuracy, appropriateness, interpretation, and use of any data reviewed through Nimble Viewer and for any clinical, research, quality, operational, regulatory, or submission decisions made based on that data.
12. Suspension and Termination
The Company may terminate or suspend your rights under these Terms immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms and Conditions.
Upon termination, the license granted to you under these Terms will immediately end, and you must cease all use of Nimble Viewer.
Sections of these Terms that by their nature should survive termination, including ownership, disclaimers, limitations of liability, dispute provisions, and feedback rights, will survive.
13. Disclaimer of Warranties
Nimble Viewer is provided to You "AS IS" and "AS AVAILABLE" and with all faults and defects without warranty of any kind.
To the maximum extent permitted under applicable law, the Company, on its own behalf and on behalf of its affiliates and licensors, expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and warranties that may arise out of course of dealing, course of performance, usage, or trade practice.
Without limitation to the foregoing, the Company provides no warranty or undertaking, and makes no representation of any kind, that Nimble Viewer will meet Your requirements, achieve any intended results, be compatible or work with every file, dataset, system, operating environment, or third-party tool, operate without interruption, meet any performance or reliability standards, or be error free, or that any errors or defects can or will be corrected.
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, consequential, exemplary, or similar damages whatsoever, including, without limitation, damages for loss of profits, loss of data, business interruption, loss of business information, loss of goodwill, or any other commercial or personal damages or losses arising out of or in connection with your use of or inability to use Nimble Viewer, third-party software used with Nimble Viewer, or otherwise in connection with these Terms, even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.
To the maximum extent permitted by applicable law, the total liability of the Company and any of its suppliers under any provision of these Terms shall be limited to the greater of: (i) the amount actually paid by ou, if any, for Nimble Viewer during the twelve (12) months preceding the event giving rise to the claim, or (ii) one hundred U.S. dollars (US$100).
Some states or jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so some of the above limitations may not apply to you. In such states or jurisdictions, each party's liability shall be limited to the greatest extent permitted by law.
15. Governing Law and Disputes
These terms and your use of Nimble Viewer shall be governed by the laws of the State of New Jersey, United States, excluding its conflicts of law rules, unless otherwise required by applicable law.
If you have any concern or dispute about Nimble Viewer, You agree to first try to resolve the dispute informally by contacting the Company.
If any provision of these Terms is held to be unenforceable or invalid, that provision will be interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
16. Changes to These Terms
The Company reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, the Company will make reasonable efforts to provide notice prior to the new terms taking effect.
By continuing to download, install, access, or use Nimble Viewer after any revised Terms become effective, You agree to be bound by the revised Terms. If You do not agree to the new Terms, in whole or in part, You must stop using Nimble Viewer.
